1. Acceptance of Terms

By accessing or using Ozone ("Service"), operated by Bitpulse Inc. ("Bitpulse", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including institutional clients, authorized representatives, and invited beta participants.

2. Description of Service

Ozone is a risk intelligence platform that provides real-time monitoring, analytics, and risk scoring for on-chain DeFi vaults and positions. The Service is currently in private beta and is made available to approved institutional clients only.

Beta Disclaimer. As a beta product, the Service may contain errors, inaccuracies, or incomplete data. Features and functionality are subject to change or removal without notice. Bitpulse does not guarantee the continuity, accuracy, or availability of any feature. The Service may be discontinued at Bitpulse's discretion.

3. Access and Eligibility

Access to Ozone is by invitation only. You may only use the Service if:

  • You have been granted access by Bitpulse
  • You are accessing the Service on behalf of an institution or entity authorized by Bitpulse
  • You are at least 18 years of age and have the legal authority to bind your organization to these Terms

Bitpulse reserves the right to revoke access at any time, for any reason, without notice.

4. Not Financial Advice

The information and data provided by Ozone — including risk scores, vault analytics, yield metrics, oracle monitoring data, and any other outputs — are provided for informational purposes only. Nothing in the Service constitutes financial advice, investment advice, trading advice, or any recommendation to buy, sell, or hold any asset.

You are solely responsible for your own financial decisions. Bitpulse is not a registered investment advisor, broker-dealer, or financial institution. Past performance and risk metrics are not indicative of future results.

5. Sanctions and Geographic Restrictions

You represent and warrant that: (a) you are not located in, incorporated under the laws of, or acting on behalf of any person or entity in a country or territory subject to U.S. government sanctions or embargo, including without limitation countries designated by OFAC; (b) you are not named on any U.S. government list of prohibited or restricted parties; and (c) your use of the Service complies with all applicable anti-money laundering (AML) and know-your-customer (KYC) laws and regulations.

Bitpulse reserves the right to restrict or terminate access from any jurisdiction at its sole discretion.

6. Data and Privacy

Your use of the Service is subject to Bitpulse's Privacy Policy. By using the Service, you consent to the collection and use of information as described therein.

We use Umami, a cookie-free analytics tool, to collect anonymous usage data to improve the Service. No personally identifiable information is collected through our analytics.

Bitpulse will handle your confidential information in accordance with its Privacy Policy and applicable law.

7. Intellectual Property

All content, data, software, and materials provided through the Service are the property of Bitpulse Inc. or its licensors. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without express written permission from Bitpulse.

Any feedback, suggestions, or ideas you provide to Bitpulse regarding the Service are provided on a non-confidential basis and Bitpulse shall be free to use and incorporate them without restriction, compensation, or attribution.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Bitpulse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or capital, arising from your use of or inability to use the Service, even if Bitpulse has been advised of the possibility of such damages.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement.

Bitpulse does not warrant that the Service will be uninterrupted, error-free, or that any data or risk metrics will be accurate, complete, or current.

Aggregate Liability Cap. In no event shall Bitpulse's total aggregate liability to you for any claims arising out of or related to these Terms or the Service exceed the greater of (i) the total amounts paid by you to Bitpulse in the twelve (12) months immediately preceding the claim giving rise to such liability, or (ii) USD $500.

9. Indemnification

You agree to indemnify, defend, and hold harmless Bitpulse Inc. and its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your misrepresentation of any Ozone outputs, risk scores, or data to any third party; or (d) any claim by a third party arising from actions you took or omitted based on information provided by the Service.

10. Force Majeure

Bitpulse shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to: blockchain network outages or congestion, oracle failures or data feed disruptions, smart contract exploits or vulnerabilities, DeFi protocol failures, internet or infrastructure outages, acts of God, governmental actions, cyberattacks, or any other event outside Bitpulse's reasonable control.

11. Confidentiality

Access credentials, platform data, risk reports, and any non-public information provided through the Service are confidential. You agree not to disclose or share any such information with unauthorized third parties without prior written consent from Bitpulse.

12. Prohibited Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to reverse engineer, decompile, or extract source code from any part of the Service
  • Share access credentials with unauthorized individuals
  • Use automated tools to scrape, extract, or harvest data from the Service
  • Interfere with or disrupt the integrity or performance of the Service

13. Termination

Bitpulse may terminate or suspend your access at any time, with or without cause or notice. Upon termination, all rights granted to you under these Terms cease immediately.

14. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware. The arbitrator's decision shall be final and binding.

Class Action Waiver. You waive any right to participate in a class action lawsuit or class-wide arbitration against Bitpulse.

Jury Trial Waiver. To the fullest extent permitted by law, both parties waive any right to a jury trial in connection with any dispute arising under these Terms.

Notwithstanding the foregoing, Bitpulse may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

15. Governing Law and Severability

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Changes to Terms

Bitpulse reserves the right to modify these Terms at any time. For material changes, we will provide at least 14 days' prior notice via email to the address associated with your account. The "Last updated" date will reflect all changes. Continued use of the Service after the notice period constitutes acceptance of the revised Terms.
